Clawback policyEffective October 2, 2023, L3Harris adopted a Clawback Policy compliant with NYSE Rule 303A.14 and SEC rules. The policy requires recovery of any excess incentive-based compensation from current or former Section 16 executive officers following a financial restatement that affects a financial measure used to determine such compensation. Excess is defined as the amount by which affected compensation exceeds what would have been received had the error not occurred, without regard to taxes paid. Additionally, AIP and Equity Incentive Plans permit recovery of all or a portion of cash or equity compensation in the event of a financial restatement due to errors, omissions, or fraud.
Anti-hedgingThe insider trading policy prohibits directors and employees from engaging in short sales, hedging, puts, calls, or other derivative transactions with respect to L3Harris securities. All executive officers and directors are required to utilize 10b5-1 trading plans (pre-cleared by the Office of General Counsel) with a minimum 90-day cooling off period.

Peer group, and who names L3HARRIS Technologies, Inc /DE/ as a peer

Companies that benchmark against LHX

24 companies name LHX as a compensation peer

Each company listed discloses LHX in its own benchmarking peer group, as disclosed in each company's most recent proxy statement within the last two proxy seasons. Two companies are therefore absent by design: one that named LHX in an earlier year and no longer does, and one whose own most recent disclosure is older than the last two seasons.
