Incentive-plan design — the Compensation Discussion & Analysis

The Committee believes the executive compensation program should align the interests of executives with those of stockholders, reward value creation at all stages of the business cycle, and provide an increasing percentage of performance-based compensation at higher levels of responsibility. Compensation is designed to be market competitive, internally equitable, and linked to long-term value creation through a significant portion of 'at-risk' pay.
