Incentive-plan design — the Compensation Discussion & Analysis

The Company's compensation philosophy is designed to attract, retain, and motivate qualified employees who are enthusiastic about the Company's mission and culture, with a focus on increasing value for shareholders by facilitating long-term growth. The Committee considers both short-term and long-term plans to reward management for achieving specific yearly goals and cumulative long-term goals, favoring cash compensation over non-cash compensation as it provides more targeted rewards for specific performance.
