Clawback policyThe Board adopted a clawback policy compliant with NYSE rules under Section 10D of the Exchange Act. In the event of an accounting restatement due to material noncompliance with financial reporting requirements, covered executives (current and former executive officers) must reimburse or forfeit excess incentive-based compensation received during the three completed fiscal years immediately preceding the restatement date. Covered compensation includes any cash or equity compensation granted, earned, or vested based wholly or in part on financial reporting measures. Recovery amount equals the excess of compensation received based on erroneous data over what would have been received based on restated results.
