Clawback policyThe Board has adopted two recoupment policies: (1) Executive Recoupment Policy (Dodd-Frank/SEC compliant): mandatory recoupment of erroneously awarded incentive-based compensation from Section 16 officers in the event of a required accounting restatement; (2) Non-Executive Recoupment Policy: discretionary recoupment from current or former non-Section 16 officers who engaged in fraud or misconduct resulting in a required accounting restatement. Both policies cover incentive-based compensation received during the three completed fiscal years preceding the restatement trigger. Additionally, NEO severance agreements include a right to require repayment of severance under certain scenarios.
Anti-hedgingRyder's Insider Trading Policy prohibits Board members, executive officers, and certain other employees from engaging in hedging or monetization transactions, including zero-cost collars and forward sale contracts.
