Incentive-plan design — the Compensation Discussion & Analysis

The Company maintains a pay for performance compensation philosophy intended to attract and retain experienced executive talent and reward executives through a combination of fixed and variable compensation. Fixed compensation is set at competitive levels and comprises the smallest portion of overall compensation, while target total compensation is benchmarked against the median of comparable positions in the peer group.
