Incentive-plan design — the Compensation Discussion & Analysis

The objective of our executive compensation program is to align executive compensation with the achievement of our strategic and financial goals. The program focuses on long-term indicators of the underlying success of our business, rather than on ancillary indicators such as our stock price or earnings per share that may be influenced by other factors and may not necessarily demonstrate the underlying success of our business. Our compensation philosophy is built upon external competitiveness, principles of internal equity with respect to each executive's role relative to others within the Company, recognition of performance against short and long-term goals, and the sharing of success.
