Incentive-plan design — the Compensation Discussion & Analysis

The Compensation Committee believes that the Company's success is highly dependent on the ability to hire and retain qualified executives who have the potential to influence performance and enhance stockholder value over time. The program is competitive in the marketplace, rewards strong and prudent corporate performance, and is aligned with stockholder interests. A substantial portion of each Named Officer's total compensation is variable and contingent upon the attainment of certain specific and measurable annual- and long-term business performance objectives.
