Incentive-plan design — the Compensation Discussion & Analysis

The Committee believes that the most effective executive compensation program is one that is designed to reward the achievement of specific annual, long-term and strategic goals, and which aligns executives’ interests with those of stockholders by rewarding performance above pre-established goals. The program includes both cash- and equity-based compensation, with a significant portion of target compensation being performance-based/at-risk to improve stockholder value.
