Incentive-plan design — the Compensation Discussion & Analysis

Emphasizing equity-based compensation based on long-term performance, earned over time, and tying 1/3rd of equity incentive compensation to relative total shareholder return, to better align the interests of our executive officers and shareholders. Motivating and rewarding executive officers by tying all cash incentive compensation to absolute, objective and transparent financial performance metrics and all equity incentive compensation to relative performance versus peers. 100% of incentive compensation is performance-based and none is time-based.
